These Terms of Service (the "Terms") govern your use of the Top Tier Boxing Club website and member portal, and every purchase made through them — memberships, class credit packs, passes, free-trial bookings, sparring registrations, and event tickets (together, the "Services"). By creating an account, making a purchase, booking a class or trial, registering for a sparring session or event, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who We Are
- The Services are operated by Club de Boxe TopTier inc., doing business as Top Tier Boxing Club (the "Club", "we", "us"), a company incorporated in Québec, Canada.

2. Scope and Related Documents
- These Terms apply to the website, the member portal, and purchases made through them. The following documents form part of your agreement with us and are available on the website: the Privacy Policy, the Cancellation & Refund Policy, and — once you sign it — your Membership Agreement and Liability Waiver.
- Your access to the gym facility and your physical participation in training, sparring, and events are governed by the signed Membership Agreement and Liability Waiver and by the rules posted at the gym, not by these Terms.
- Our merchandise shop at toptierbox.com is operated separately; purchases made there are governed by the terms displayed on that site.
- Nothing in these Terms limits or waives any right granted to you by Québec's Consumer Protection Act (CQLR, c. P-40.1), the Civil Code of Québec, or any other public order legislation. In case of conflict between these Terms and a mandatory provision of law, the law prevails.
3. Changes to These Terms
- We may update these Terms from time to time. The current version, with its revision date, is always available on the website. Material changes will be announced on the Services or by email before they take effect.
- For ongoing memberships, any change to an essential element of your contract (such as price or included services) will be communicated in writing at least 30 days before it takes effect, as required by the Consumer Protection Act. No such change applies during a fixed commitment period you have already purchased. If you refuse a change, you may cancel as described in the Cancellation & Refund Policy.
4. Eligibility and Accounts
- You must be at least 14 years of age to create an account. Members under 18 must have a parent or legal guardian sign the Membership Agreement and Liability Waiver on their behalf.
- You are responsible for providing accurate, current, and complete information when creating your account and for keeping it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use.
- We may suspend or terminate an account that provides false information, is used by someone other than its holder, or is used in violation of these Terms.
5. Purchases, Billing, and Taxes
- All prices are in Canadian dollars (CAD). Payments are processed by our payment processor, Stripe. Your full card details are transmitted directly to Stripe and never touch our servers.
- Membership, credit pack, and pass prices are stated before taxes; GST (5%) and QST (9.975%) are added at checkout and shown on your receipts. Event ticket prices are displayed tax-included.
- Recurring memberships are billed automatically at the start of each billing period to the payment method on file. It is your responsibility to keep a valid payment method on file.
- If a recurring payment fails, we may retry the charge and may suspend your membership access and booking privileges until the outstanding balance is paid.
- A receipt is emailed for every payment and includes our GST and QST registration numbers.
6. Memberships
- The memberships, credit packs, and passes we offer — including their price, billing frequency, included services (open gym access, group classes, sparring access, personal training sessions), and any commitment period — are described on the Services before you purchase.
- Some monthly plans offer a reduced rate in exchange for a fixed commitment period. Commitment periods never exceed one year and are never renewed automatically: at the end of a commitment, the membership simply continues month to month at the then-current rate until you cancel.
- Memberships are personal and non-transferable. Your check-in privileges and QR codes may not be shared with or used by anyone else.
- Cancellations, refunds, and membership pauses are governed by the Cancellation & Refund Policy and by the mandatory provisions of the Consumer Protection Act applicable to physical fitness studio contracts, which prevail over these Terms.
7. Free Trial
- We offer one free trial class per person, subject to availability. The trial is free of charge and carries no obligation to subscribe.
- A card on file may be required to reserve your spot. Nothing is charged to the card for the trial; it is used only to hold the reservation and to verify that the trial has not already been redeemed.
- Because the trial is limited to one per person, we verify redemptions using the information described in our Privacy Policy (such as your email, phone number, and card fingerprint). We may refuse or flag a trial reservation that appears to be a duplicate.
- A signed Membership Agreement and Liability Waiver is required before participating in the trial class. A parent or legal guardian must sign for minors.
8. Class Bookings
- The member portal allows you to book, cancel, and manage class reservations, subject to availability and to the entitlements of your membership or credit pack.
- You may cancel a class booking free of charge up to 12 hours before the scheduled class start time (the current window, shown when you book), as further described in the Cancellation & Refund Policy.
- Repeated late cancellations or no-shows may result in the loss of a class credit or a temporary restriction on advance bookings, as described in the Cancellation & Refund Policy.
- If we cancel a class, any credit used is automatically returned to your account.
9. Credit Packs
- Credit packs are prepaid bundles of class credits. The number of credits and any expiry period are shown before you buy.
- Credit packs are personal and non-transferable. Expired credits are forfeited except where the law provides otherwise; see the Cancellation & Refund Policy.
10. Events and Tickets
- The Club organizes events such as boxing galas and competitions. Each published event page states the date, venue, ticket types, prices (tax-included), and the number of people admitted per ticket.
- Ticket orders are processed through Stripe Checkout. Tickets are delivered by email with a QR code scanned at the door. Keep your QR code private: the first scan admits the stated number of people, and duplicated or already-scanned codes will be refused.
- You may give your ticket to another person, but resale above face value is prohibited. We may cancel tickets offered for commercial resale.
- Some events include an optional donation line at checkout. Donations are voluntary and separate from the ticket price.
- Event programs — including the fight card and participating athletes — may change without notice. Lineup changes do not entitle you to a refund. If an event is cancelled or postponed, the Cancellation & Refund Policy applies.
- We and the venue may refuse or revoke admission for safety reasons, intoxication, or breach of venue rules. No refund is owed where removal is for cause.
- Any age restriction is stated on the event page.
11. Open Sparring Sessions
- The Club periodically hosts free, supervised sparring sessions open to members and to boxers from other clubs. Registration requires a fighter profile (name, weight, age, experience, club).
- A signed Membership Agreement and Liability Waiver is required before participating. A parent or legal guardian must sign for minors.
- Coaches control pairing, protective equipment, and intensity, and may stop any participant's session at any time for safety reasons. Gym rules apply to all participants, members or not.
- Registering for a session subscribes you to notifications about that session. Promotional email is sent only with your separate consent (see section 12).
12. Communications, Email, and SMS
- Transactional messages — receipts, booking and ticket confirmations, schedule changes, account and security notices, and updates to your agreement — are part of the Services and are sent as needed. They cannot be opted out of while you use the Services.
- Marketing communications — promotions, the newsletter, sparring invitations, and class reminders — are sent only with your consent, in accordance with Canada's Anti-Spam Legislation (CASL). You can manage each category in the member portal or use the unsubscribe link included in every marketing email. Unsubscribe requests are processed without delay, and at the latest within 10 business days.
- SMS messages (where offered) require your separate, express consent. Message and data rates may apply. Reply STOP at any time to unsubscribe or HELP for help.
- Withdrawing your marketing consent never affects transactional messages, your membership, or your access to the Services.
13. Acceptable Use
- You agree to use the Services only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:
- impersonate any person or misrepresent your affiliation with any person or entity;
- share your account, check-in privileges, or booking privileges with any person not covered by your membership;
- upload content that is unlawful, defamatory, hateful, harassing, or that infringes the rights of others, including images of other persons without their consent;
- attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
- interfere with or disrupt the operation of the Services, including by introducing malicious code or by scraping or automated data collection;
- use the Services to send unsolicited commercial communications.
- We may remove content and suspend or terminate access for violations of this section.
14. User Content
- You retain ownership of photos and other content you upload to the Services. By uploading content, you grant us a non-exclusive licence to host, store, and display that content as needed to operate the Services.
- You are solely responsible for the content you upload and represent that you have all rights necessary to upload it.
15. Intellectual Property
- The Services — including their text, graphics, logos, trademarks, and software — are owned by Club de Boxe TopTier inc. or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from the Services except as permitted by law or with our prior written consent.
16. Liability
- Physical training risks. Any limitation or exclusion of liability relating to your physical participation in boxing and fitness activities is set out exclusively in the signed Membership Agreement and Liability Waiver, not in these Terms.
- Services provided "as is." To the extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
- Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable law, including the Consumer Protection Act (Québec) and the Civil Code of Québec. Consumers retain all rights granted by public order legislation.
17. Suspension and Termination
- You may close your account at any time by contacting us. Closing your account does not by itself cancel an active membership; see the Cancellation & Refund Policy.
- We may suspend or terminate your access to the Services for material breach of these Terms, fraudulent activity, or non-payment, subject to any notice and refund required by applicable law.
18. Personal Information
- Our collection and use of your personal information — including the anti-fraud verification used for the free trial and the tracking technologies used on the website — are described in our Privacy Policy, which forms part of your agreement with us.
19. Language
- These Terms and our related consumer documents are drawn up in French and in English, and the French version was made available to you first, in accordance with the Charter of the French language. You may use the Services in either language.
- In case of discrepancy between the two versions, the French version prevails for consumers domiciled in Québec, unless the law provides otherwise.
20. Governing Law and Disputes
- These Terms are governed by the laws in force in the Province of Québec and the applicable laws of Canada.
- Subject to any mandatory rules of jurisdiction protecting consumers, the courts of the judicial district in which the gym is located have jurisdiction over any dispute arising from these Terms.
- For information about your rights as a consumer, you may contact the Office de la protection du consommateur (opc.gouv.qc.ca).
